"Customer" means the organization that has entered into a subscription agreement with us.
"User" means any individual authorized by a Customer to use the Services.
"Platform" means the Knowspams security awareness training and phishing simulation platform.
"Content" means all training materials, simulations, reports, and other materials provided through the Services.

2. Account Registration and Access

2.1 Account Creation

To use our Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Authorized Users

Customers may authorize employees and contractors to access the Services. Customers are responsible for ensuring that all Users comply with these Terms.

2.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss arising from unauthorized use of your account.

3. Services Description

Knowspams provides:

AI-powered phishing simulation campaigns
Security awareness training modules
Reporting and analytics dashboard
Employee security scoring (AwareIQ™)
Compliance reporting tools
Phishy™ email reporting button

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

4. Acceptable Use

4.1 Permitted Use

You may use the Services only for:

Conducting authorized phishing simulations within your organization
Providing security awareness training to your employees
Measuring and improving your organization's security posture
Generating compliance reports for legitimate business purposes

4.2 Prohibited Use

You must not:

Use the Services to send phishing simulations to individuals outside your organization without explicit consent
Use the Services for actual malicious phishing or fraud
Attempt to gain unauthorized access to our systems or other users' accounts
Reverse engineer, decompile, or disassemble any part of the Services
Use the Services in violation of any applicable laws or regulations
Resell, sublicense, or redistribute the Services without our written consent
Use the Services to harass, threaten, or harm any individual
Upload malicious code, viruses, or harmful content
Interfere with the proper functioning of the Services

5. Intellectual Property

5.1 Our Intellectual Property

The Services, including all Content, software, trademarks, and other intellectual property, are owned by Quantamsecure Private Limited or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.

5.2 Customer Data

You retain ownership of all data you upload to the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services and as described in our Privacy Policy.

5.3 Feedback

If you provide feedback or suggestions about our Services, we may use such feedback without any obligation to you.

6. Subscription and Payment

6.1 Subscription Terms

Access to the Services requires a paid subscription. Subscription terms, pricing, and payment schedules are specified in your subscription agreement or order form.

6.2 Payment

You agree to pay all fees in accordance with your subscription agreement. Fees are non-refundable except as expressly stated in your agreement or required by law.

6.3 Taxes

All fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes associated with your use of the Services.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party. This includes, but is not limited to:

Customer's security assessment results and vulnerability data
Our proprietary algorithms, methods, and trade secrets
Business information, pricing, and customer lists

8. Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to our data practices as described therein.

For enterprise customers, we offer Data Processing Agreements (DPAs) that comply with GDPR, DPDP Act, and other applicable regulations.

9. Disclaimers

9.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance with reasonable notice.

9.2 No Guarantee of Security

While our Services are designed to improve your organization's security awareness, we do not guarantee that using our Services will prevent all security incidents. Security is a shared responsibility.

9.3 Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTAMSECURE PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Quantamsecure Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms
Your use of the Services in an unauthorized manner
Your violation of any third-party rights

12. Term and Termination

12.1 Term

These Terms are effective upon your first use of the Services and continue until your subscription is terminated.

12.2 Termination for Breach

We may suspend or terminate your access to the Services immediately if you breach these Terms or engage in prohibited conduct.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data in accordance with our data retention policies and applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Services with at least 30 days' notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with your subscription agreement and Privacy Policy, constitute the entire agreement between you and us regarding the Services.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or in connection with a merger or acquisition.
